AFFILIATE REFERRAL AGREEMENT

This Affiliate Referral Agreement (“Agreement”) is made by and between Noahtech Computer Repairing And Services, with its primary place of business at 3A-1, Jalan Cempaka SD 12/2, Bandar Sri Damansara, 52200 Kuala Lumpur, Malaysia. (“Noahtec.com”), as operator of the world wide web site located at www.noahtec.com (“Noahtec.com”), and you (“Affiliate”), collectively referred to herein as the “Parties”.

1. Application as an Afilliate

To apply to join the Program, you should submit a completed online application form via our site. We will evaluate your application and notify you whether you are accepted or not in due course. We may in our absolute discretion reject your application if we determine that your site (if any), is unsuitable for the Program for any reason, including but not limited to, inclusion of contents which are unlawful, unethical, obscene, threatening, or promotion of violence, discrimination based on sex, race, religion, disability or age, or inclusion of “Noahtec.com” or variations thereof as part of your site’s domain name. If we reject your application, you re welcome to reapply at any time.

2. Purpose

Upon execution of this Agreement by the Parties, Affiliate shall be enrolled in Noahtec.com Affiliate Referral Program (the “Program”). The program is intended to generate monetary rewards to the Affiliate based upon the Affiliate’s referral of a paying customers (the “customer” or “customers”) to Noahtec.com.

3. Roles and Responsibilities

3.1 Role of Affiliate

Affiliate hereby agrees to actively engage in the referral of customers to Noahtec.com. Referral may be generated by promotions, including but not limited to text or graphical hyperlinks to Noahtec.com for Affiliate’s World Wide Web site; email campaign initiated by Affiliate to Affiliate’s clients, partners and other associates. Affiliate will refer customers to Noahtec.com for all information regarding terms and conditions of service on Noahtec.com.

3.2 Role of Noahtec.com

In order to facilitate Affiliate’s Customer referrals, Noahtec.com will provide Affiliate with promotional materials that may include, but are not be limited to, text advertisements with hyperlinks to Noahtec.com, graphical ads with embedded hyperlinks to Noahtec.com, templates, banners for online or inform of e-mails targeted to prospective customers and other materials to be determined at the sole discretion of Noahtec.com. In addition, Noahtec.com will monetarily compensate Affiliate according to the terms set forth in Section 4 of this Agreement.

4. Qualification of the Customers

In order for Affiliate to receive commission for referral of a paying customer to Noahtec.com, the criteria set forth in Sections 3.1 through 3.2 of this Agreement must be met. Determination of a customer’s qualification under the conditions set forth in Sections 3.1 through 3.2 of this Agreement shall be at the sole discretion of Noahtec.com, and all decisions pertaining to the determination of an customer’s qualification to be counted toward Affiliate’s referral commission shall be considered final.

4.1 Failure to collect customer’s Funds
In the event that Noahtec.com is unable to redeem the customer’s method of payment, failure of customer’s creditor to honor a credit card sales draft, customer shall be immediately deemed ineligible as a commissionable referral for Affiliate.

4.2 Reporting of Affiliate as Referrer
In order for Affiliate to receive payment of commission for referring any customer, the customer must identify Affiliate to Noahtec.com at the time at which the customer completes the Noahtec.com customer sign-up process. Identification of Affiliate as the referring entity may be accomplished by either of two means, as outlined in Sections 4.2.1 and 4.2.2 of this Agreement.

4.2.1 During the Noahtec.com Affiliate sign-up program (“by e-mail”), a unique identifier in the form of an alphanumeric code will be assigned to Affiliate upon Affiliate’s acceptance into the program. 4.2.2 Referring Link The customer may identify Affiliate to Noahtec.com by clicking on a hyperlink provided by Affiliate and completing the Noahtec.com. Customer sign-up process at the time that said hyperlink is activated. In order to qualify, the hyperlink provided by Affiliate to the customer must contain the exact Universal Resource Locator provided by Noahtec.com to Affiliate upon Affiliate’s acceptance into the Program (the “Referring Link”). Noahtec.com will not be held liable for any errors in the Referring Link that occur as a result of actions taken by Affiliate or the customer.

5. Commissions

Noahtec.com will only pay Affiliate a commission based on sales of e-book (created by Noahtec.com) in form of percentage-based for each paying customer refer to noahtec.com as below: -
There are two form of percentage-based which Affiliate can utilize according with the following

1. Affiliate (1st tier) 35% Payout Percentage
2. Affiliate (2nd tier) 10% Payout Percentage

Payment will be made when balanced owned to Affiliate reaches a minimum of USD50.00.

No monthly quota or personal purchase required of you in order for you to be qualified for payment of commission. We may in our absolute discretion change the commission structure or the rate of commission from time to time upon notice to you via your registered email address or posting a notice of the change in our site. Should there be any disputes as to the referral of customers, our decision shall be final and binding.

6. Commission Payment

Commission are payable on monthly basis approximately Forty Five (45) days following the end of each calendar month either to the payee’s bank account stated in the application form via bank telegraphic transfer, or through money order/bank cheque, less prescribed bank charges, any taxes or other amount required to withheld under any applicable law or this Agreement.

Payment will be made when balance owed to Affiliate reaches a minimum of USD Fifty Dollar (USD50.00) or higher of requested by Affiliate. If the amount of commission payable for any calendar month, is less than US Fifty Dollar (USD50.00), we will hold the commission until the total amount of commission payable exceeds US Fifty Dollar (USD50.00) or until this Agreement is terminated (whichever is earlier).

7. Customers of Noahtec.com
Customers who buy products through this program are deemed to be customers of noahtec.com. The personal information of customers collected by us are our property and you shall have no right to it.

8. Terms
The term of this Agreement shall be two (2) calendar years from date of execution of this Agreement by authorized representatives of both Noahtec.com and Affiliate.

9. Recovery of Expenses
In any action at law or in equity to enforce any of the provisions or rights
under this Agreement, the prevailing party shall be entitled to recover from the unsuccessful party all costs, expenses and reasonable attorney’s fees incurred by the prevailing party, including, but not limited to, such costs, expenses and fees on appeal; if such prevailing party shall recover judgment in any such action or proceeding, such costs, expenses and fees, including those of expert witnesses and attorney’s fees, shall be included as part of the judgment.

10. Control of the Agreement
This Agreement shall be construed without regard to the identity of the person who drafted its various provisions; each and every provision of this Agreement shall be construed as though each of the Parties participated equally in drafting same, and any rule of construction that a document is to be construed against the drafting party shall not be applicable to this Agreement.

11. Scope
This Agreement represents the sole representations of the Parties and supercedes any and all previously made warrants and conditions, expressed orally or in written document, pertaining to the relationship between the Parties.
